Bald Eagle Repeater Association |
As Amended
July
16th 1998
Preamble:
We
the Undersigned, Wishing to secure for ourselves the pleasures and
benefits of the Association of persons commonly interested in Amateur
radio, do hereby constitute ourselves the Bald Eagle Repeater
Association, a non-profit organization, and do enact this Constitution
as our governing law. It shall be our purpose to facilitate the
exchange of information and general cooperation between members, to
promote radio knowledge, fraternalism, and individual operating
efficiency, and to so conduct club programs, and activities as to
advance the general interest and welfare of Amateur Radio in the
general community.
Article I -
Membership:
Section 1:
All persons interested in Amateur radio shall be eligible for
membership. Membership shall be by application, and election upon such
terms as the club by-laws shall provide.
Section 2: Only
licensed FCC Amateur operators will be allowed to hold any office.
Section 3: Anyone
who is a member in good standing as of January, 1st 1998 will
automatically be grandfathered in the new membership under this
document.
Article II -
Officers:
Section 1: The
Officers of this club shall be: President, Vice President, Recording
Secretary, Treasurer, and three Trustees.
Section 2: The
Officers of this club shall be elected for a term of one year by ballot
of the members present at the last meeting prior to the new year. The
only exception is for Trustees, this is stated in Article II, Section 5.
Section 3: Vacancies
occurring between elections must be filled at the first regular meeting
following the withdrawal or resignation. If the position is not filled,
the Vice President shall assume the position for the remainder of that
positions term.
Section 4: Officers
may be removed from office on a vote by two thirds vote of membership.
Intentions of removal must be announced at least two weeks prior to the
next regular meeting and it must be in writing to one of the Officers.
Vote shall be counted by a mass mailing to all current club members.
Section 5: Trustees
will be elected to a 3 year rotation. There will be three Trustees at
all times.
Article III -
Duties of Officers:
Section 1: The
President shall preside at all meetings of this club and conduct the
same according to the rules adopted; he/she shall enforce due
observance of the Constitution and by-laws; decide all questions of
order; sign all official documents that are adopted by the club, and
none other, and perform all the customary duties pertaining to the
office of the President.
Section 2: The
Vice President shall assume all duties of the President in the absence
of the latter.
Section 3: The
Recording Secretary shall keep a record of the proceeding of all
meetings; keep a roll of members and submit application for membership.
At the expiration of the present Recording Secretary term all
possessions belonging to the Bald Eagle Repeater Association shall be
given to the successor.
Section 4: The
Treasurer shall receive and receipt for all monies paid to the club.
Keep an accurate account of all monies received and expended. A
complete financial statement made at every club meeting. At the
expiration of the Treasurer's term, all possessions belonging to the
club shall be turned over to the successor.
Section 5: Duties
of Trustees are to oversee all club equipment and long term goals of
the club. Trustees are the only office holder that may hold other board
positions, however, they still only get one vote as a member.
Article IV -
Meetings:
Section 1: The
by-laws shall provide for regular and special meetings. At meetings,
three members and two officers, a total of five members present, shall
constitute a quorum for the transaction of business.
Article V - Dues:
Section 1: Non
Payment of dues shall be cause for expulsion from the club. Dues are
payable by the first day of January of each year of which all members
will be notified by mail in advance. A six month grace period will be
observed and if not paid by the last day of the grace period the member
will be dropped from the club roster.
Section 2: Dues
shall be set by the by-laws.
Article VI -
Amendments:
Section 1: This
Constitution or the club by-laws may be amended by a 2/3rds majority
vote of the clubs members present at a meeting. Proposals for
Amendments shall be submitted in writing at a regular meeting with vote
action to be taken at the next regular meeting.
By-laws of
the Bald
Eagle Repeater Association.
Section 1: Recording
Secretary: It shall be the duty of the Recording Secretary to keep the
Constitution and by-laws of the Bald Eagle Repeater Association. And
have the same with the person at every regular and special meeting.
Said person shall cause all amendments changes and additions to be
noted thereon. And shall permit the same to be consulted by members
upon request at a meeting.
Section 2: Membership
and Dues: Applications for membership shall be submitted in writing.
Membership classes that are available with the Bald Eagle Repeater
Association are:
1. Regular
membership is $20.00 a year.
Section 3: Meetings:
Regular meetings shall be held at such a place as the President shall
order, and on determined intervals by the by-laws. Special meetings may
be called for by members by notifying any club officer to set up the
meeting for a specific reason.
Section 4: Family
Membership: Shall be Available to any family of two or more persons
residing at the same postal address.
Section 5: Audit:
an annual monetary audit of the Treasure's books shall be made one
month after to the end of the fiscal year by the auditing committee.
The auditing committee shall consist of two members appointed by the
President, and not the current or past treasurer. The fiscal year ends
annually December 31st. The Committee shall report at the next regular
meeting after appointment.
Section 6: Trustees
will be elected for one year, two year, and three year terms at the
first election following the ratification of this document.
Section 7: By
Signing this document: It is automatically voted that Bob Shearer,
N3AFX be the first three year Trustee. Bob Shearer, N3AFX will be the
permanent Repeater Trustee under this document.
Section 8 : Meeting
Intervals: Every other month meetings: Example: February, April, June,
August, October, December. Exact Meeting time and date will be decided
by the President until a repeating date can be created that is good for
the majority of the club
